Contiguity Enterprise Service Contract Terms
Last modified February 7, 2026These Service Contract Terms ("Service Contract Terms") supplement the Contiguity Services Agreement and apply when you elect to purchase Services under a Service Contract. By enrolling in a Service Contract, you agree to these Service Contract Terms in addition to all other applicable terms.
For purposes of these Service Contract Terms, "Contiguity Console" means the web-based dashboard interface at console.contiguity.com through which you manage your Contiguity Account and Services.

Service Contracts make billing simple and predictable. Instead of managing multiple charges across different services and billing dates, you pay one flat monthly rate that covers everything you need.

Service Contracts are built for businesses seeking stable, predictable expenses, straightforward billing, and the ability to scale—without the stress of overseeing countless separate service charges.

1. Service Contracts Generally
1.1 What's a Service Contract
A Service Contract is a billing arrangement under which you pay a fixed monthly fee for access to and use of Contiguity Services, subject to the terms and limitations set forth in these Service Contract Terms. Service Contracts are designed to simplify billing, provide predictable costs, and provide additional benefits as described herein.
1.2 Enrollment
You may enroll in a Service Contract by contacting Contiguity or through the Contiguity Console (if available). Contiguity will work with you to configure your Service Contract based on your projected usage. Contiguity has sole discretion to approve or deny any Service Contract request.
1.3 Month-to-Month; No Commitment
Service Contracts are month-to-month arrangements with no long-term commitment required. Either party may terminate the Service Contract at any time in accordance with Section 5 of these Service Contract Terms.
2. Billing and Usage
2.1 Fixed Monthly Fee
You will be charged a fixed monthly fee as specified in your Service Contract configuration. This fee is billed in advance on the first day of each billing cycle and is non-refundable except as expressly stated in the Contiguity Services Agreement.
2.2 Usage Coverage
Your fixed monthly fee represents the maximum amount that may be internally applied toward eligible Services during a billing cycle, subject to valuation, overage, and adjustment provisions set forth herein. It includes both:
(a) Flat-Rate Services. Many Contiguity products are billed at a flat monthly rate with unlimited usage. For example, leased phone numbers typically have a fixed monthly fee with no additional usage charges. These flat-rate service fees are included in your Service Contract amount.
(b) Usage-Based Services. Some Contiguity products may have usage-based pricing. For these services, your usage is calculated at Contiguity's standard rates (or custom rates if specified in your Service Contract configuration) and applied against your monthly fee amount.
2.3 Overages
(a) Overage Allowance. If your monthly usage exceeds your fixed monthly fee by up to 20%, Contiguity will continue to provide Services without interruption. You are not required to remit payment for such overage amounts during the applicable billing cycle.
(b) Future Adjustment Requirement. If you incur an overage in any billing cycle, Contiguity may require you to increase your fixed monthly fee for future billing cycles to cover your actual usage levels. You are not required to pay retroactively for previous overage amounts, but your Service Contract amount must be adjusted going forward to accommodate your usage.
(c) Exceeding Overage Limits. If your usage exceeds 120% of your fixed monthly fee, Contiguity may, in its sole discretion, either:
(i) Suspend Services until you increase your Service Contract amount, in which case Contiguity will make reasonable efforts to notify you before suspending Services; or
(ii) Allow the overage to continue and bill you for the excess amount (usage above 120% of your fixed monthly fee) with a 50% surcharge applied to the overage amount. For example, if your overage above 120% totals $20, you will be billed $30.
Contiguity will notify you of which approach applies to your account.
2.4 Unused Amounts
Any portion of your fixed monthly fee that is not used in a given billing cycle does not roll over to subsequent months and is not refundable. Each billing cycle starts fresh with your configured monthly fee amount.
2.5 Fee Adjustments
You may request to increase or decrease your fixed monthly fee at any time by contacting Contiguity. Fee adjustments take effect at the start of the next billing cycle unless Contiguity agrees otherwise in writing. Decreases may be subject to Contiguity approval.
2.6 Service Valuation and Goodwill Services
Contiguity provides a wide range of Services with varying costs and value. Some Services, including but not limited to goodwill number replacements, advisory services, technical consultations, and custom integrations, may be provided at Contiguity's discretion and are not guaranteed benefits of your Service Contract. When calculating your usage against your fixed monthly fee, Contiguity may assign values to discretionary or goodwill services based on their actual cost to Contiguity, market value, or other factors Contiguity deems appropriate. The provision of any goodwill or discretionary service in one instance does not create an entitlement to similar services in the future. Contiguity reserves the right to limit, condition, or decline to provide discretionary services based on your usage patterns, Service Contract configuration, or other business considerations.
Contiguity’s valuation determinations are final and made solely for internal billing and accounting purposes.
2.7 Usage Monitoring and Abuse Prevention
Contiguity continuously monitors usage patterns across all Service Contracts. Unusual usage patterns, including but not limited to sudden spikes, usage concentrated at unusual times, usage inconsistent with your stated business purpose, or patterns suggesting resale or sharing of Services, may trigger review of your Service Contract. Contiguity may temporarily suspend Services, require explanation of usage patterns, or terminate your Service Contract if Contiguity determines your usage suggests fraud, abuse, resale, or unauthorized sharing of your account.
2.8 Monitoring, Data Usage, and Machine Learning
(a) Monitoring. Contiguity may use advanced machine learning and artificial intelligence systems to monitor Service Contract usage patterns, detect anomalies, prevent fraud and abuse, optimize service delivery, and improve Contiguity's Services.
(b) Training Data. Content transmitted through or generated by your use of Services under a Service Contract, including but not limited to message content, call data, usage metadata, and interaction patterns, may be used by Contiguity to train, improve, and develop machine learning models and artificial intelligence systems. This data may be aggregated, anonymized, or used in its original form for training purposes.
(c) Exemption Process. You may request an exemption from the data usage practices described in subsection (b) through the Contiguity Console. Many exemption requests are approved automatically upon submission. Contiguity reserves the right to review, deny, or conditionally approve exemption requests in its sole discretion based on technical feasibility, business considerations, and other factors. Approved exemptions may be subject to additional fees, usage restrictions, or other conditions as determined by Contiguity and specified in the Contiguity Console or communicated to you in writing.
(d) Exemption Limitations. Exemptions do not apply to monitoring described in subsection (a), which Contiguity retains the right to perform for all Service Contracts. Contiguity may revoke previously granted exemptions upon 30 days' notice if Contiguity determines that continued exemption is not operationally or commercially feasible.
3. Service Contract Benefits
3.1 Waived or Reduced Setup Fees
Service Contract customers receive waived or substantially reduced setup fees for applicable Services. The specific setup fee treatment will be confirmed in your Service Contract configuration.
3.2 Included Enterprise Support
All Service Contract customers receive enterprise-level support at no additional charge. This includes priority response times and access to Contiguity's technical support team.
3.3 Simplified Billing
Instead of receiving multiple charges on different days for different services, Service Contract customers receive a single predictable monthly charge.
3.4 Usage Responsibility
You are responsible for monitoring your usage and ensuring your Service Contract is configured appropriately for your needs.
4. Dynamic Pricing and Surcharges
4.1 Service Contract Pricing
Pricing for Service Contracts is determined by Contiguity in its sole discretion and may differ from standard pay-as-you-go pricing listed on the Pricing Page. Service Contracts may include custom rates, bundled services, or other pricing structures.
4.2 Rate Changes
Contiguity may adjust the pricing for your Service Contract upon 30 days' written notice, in accordance with Section 4.1 of the General Terms. Your continued use of the Service Contract after the effective date of a rate change constitutes acceptance of the new rates.
4.3 Surcharges
Contiguity reserves the right to apply surcharges to your Service Contract for:
(a) Regulatory changes that increase Contiguity's costs (e.g., new carrier fees, compliance requirements);
(b) Significant changes in your usage patterns or service mix that materially increase Contiguity's costs; or
(c) Other circumstances where Contiguity determines a surcharge is warranted.
Contiguity will provide you with at least 30 days' notice before applying any surcharge. Surcharges may be applied as flat fees or as percentage increases to your fixed monthly fee.
5. Termination and Suspension
5.1 Your Termination
You may terminate your Service Contract at any time by providing written notice to Contiguity. Termination is effective at the end of your current billing cycle. You remain responsible for all charges incurred through the termination date, including the fixed monthly fee for the month in which termination occurs.
5.2 Contiguity Termination
Contiguity may terminate your Service Contract immediately upon notice if:
(a) You breach these Service Contract Terms or any other provision of the Contiguity Services Agreement;
(b) You fail to pay your fixed monthly fee or any other amount when due;
(c) Your usage patterns indicate fraud, abuse, or violation of applicable laws or Contiguity policies; or
(d) Contiguity determines, in its sole discretion, that continuing your Service Contract presents unacceptable risk or is otherwise not commercially reasonable.
5.3 Effect of Termination
Upon termination of your Service Contract:
(a) You will immediately lose access to Service Contract benefits, including waived setup fees and enterprise support;
(b) Any unused portion of your fixed monthly fee as of the termination date is forfeited with no refund;
(c) You remain responsible for paying all outstanding charges, including the final month's fixed fee; and
(d) You will be transitioned to individual service billing for any continued use of Contiguity Services.
5.4 Survival
Sections 2.3 (Overages), 2.4 (Unused Amounts), 2.6 (Service Valuation), 2.7 (Usage Monitoring), 2.8 (Monitoring, Data Usage, and Machine Learning), 5.3 (Effect of Termination), 8 (Representations and Warranties), and 8.2 (Required Information and Documentation) survive termination of your Service Contract.
6. Service Contract Configuration
6.1 Projected Usage
Service Contracts are typically configured based on your projected usage plus a buffer (commonly 20% above projected usage). You are responsible for accurately estimating your usage needs. Contiguity may provide recommendations but does not guarantee the accuracy of any usage projections.
6.2 Configuration Errors
If you discover that your Service Contract is misconfigured (e.g., the fixed fee does not align with your actual usage needs), you must promptly notify Contiguity. Contiguity will work with you to adjust your configuration, effective at the start of the next billing cycle. Contiguity is not responsible for overages or other issues resulting from your misconfigured Service Contract.
6.3 Changes to Service Mix
If you materially change the mix of services you use (e.g., switching from primarily SMS to primarily iMessage), Contiguity may require you to reconfigure your Service Contract to reflect the updated cost structure. Failure to reconfigure may result in suspension or termination of your Service Contract.
6.4 Required Buffer
Your Service Contract must be configured with adequate buffer capacity above your projected regular usage. Service Contracts configured at or near 100% of your projected usage are not permitted. The 20% overage allowance described in Section 2.3(a) is designed as a safety net for unexpected usage spikes, not as regular usable capacity. If Contiguity determines that you are consistently using the overage allowance as part of your regular usage (rather than as a buffer for unexpected spikes), Contiguity may require you to increase your fixed monthly fee to properly reflect your actual usage needs. Failure to maintain adequate buffer capacity may result in required Service Contract reconfiguration, suspension, or termination.
7. Relationship to Other Terms
7.1 Incorporation
These Service Contract Terms are incorporated into and made part of the Contiguity Services Agreement. All capitalized terms not defined in these Service Contract Terms have the meanings given to them in the Contiguity Services Agreement.
7.2 Conflicts
In the event of a conflict between these Service Contract Terms and the General Terms or other Product Terms, these Service Contract Terms control solely with respect to Service Contracts. For any matter not addressed in these Service Contract Terms, the General Terms and other applicable Product Terms govern.
7.3 Other Charges
Service Contracts cover only the services and usage included within your fixed monthly fee amount. You remain responsible for any other charges, fees, or costs not covered by your Service Contract, including but not limited to setup fees for services where setup fees are not waived, premium features, or third-party services.
8. Representations and Warranties
By enrolling in a Service Contract, you represent and warrant that:
(a) You have accurately represented your anticipated usage to Contiguity;
(b) You will use the Service Contract in good faith and in accordance with these Service Contract Terms and all other applicable terms;
(c) You will not attempt to manipulate, abuse, or circumvent the Service Contract structure to gain unauthorized benefits or to defraud Contiguity; and
(d) You will promptly notify Contiguity of any material changes to your business, usage patterns, or circumstances that may affect your Service Contract.
(e) You acknowledge and consent to Contiguity's use of your content and data for machine learning and artificial intelligence training purposes as described in Section 2.8, unless and until you request and are granted an exemption through the Contiguity Console. If you are granted an exemption after enrolling in your Service Contract, the exemption applies prospectively from the date of approval and does not affect Contiguity's prior use of your data.
8.1 Account Sharing Prohibited
Service Contracts are issued to a specific customer and may not be shared, resold, or used to provide services to third parties without Contiguity's express written consent. Each legal entity or business unit requiring Services must maintain its own separate Service Contract. Violation of this provision is grounds for immediate termination and may result in additional charges calculated at Contiguity's standard rates for all usage during the period of violation.
8.2 Required Information and Documentation
(a) Information Requests. Contiguity may require you to provide certain information and documentation as a condition of enrolling in, maintaining, or continuing a Service Contract. Required information may include, but is not limited to:
(i) Your company's Employer Identification Number (EIN) or other tax identification number;
(ii) Company formation, incorporation, or organization documents (e.g., Articles of Incorporation, Certificate of Formation, Operating Agreement);
(iii) Government-issued photo identification for authorized representatives;
(iv) Proof of business address or physical location;
(v) Business licenses or permits;
(vi) Ownership or beneficial ownership information;
(vii) Financial statements or credit references; and
(viii) Any other information required by applicable law, regulation, industry standards, Contiguity policies, or that Contiguity reasonably determines is necessary for compliance, risk management, fraud prevention, or other legitimate business purposes.
(b) Timing and Compliance. Contiguity may request such information at the time of Service Contract enrollment, periodically during the term of your Service Contract, or at any time Contiguity deems necessary. You must provide requested information within the timeframe specified by Contiguity (typically 10 business days unless otherwise stated). Failure to provide required information in a timely manner may result in suspension of Services, denial of Service Contract enrollment or renewal, or termination of your Service Contract.
(c) Accuracy and Updates. You represent and warrant that all information and documentation provided to Contiguity is accurate, complete, and current. You must promptly notify Contiguity of any material changes to previously provided information, including but not limited to changes in business structure, ownership, authorized representatives, or tax status.
(d) Verification Rights. Contiguity reserves the right to verify any information you provide through third-party sources, including but not limited to government databases, public records, and identity verification services. You authorize Contiguity to conduct such verification and to use the information obtained for purposes of evaluating, managing, and monitoring your Service Contract.
9. Modifications
Contiguity may modify these Service Contract Terms at any time in accordance with Section 13 of the General Terms. Continued use of your Service Contract after any modification constitutes acceptance of the modified Service Contract Terms.
