Contiguity Communications Services Terms

1. Contiguity Communications Services

These terms ("Contiguity Communications Product Terms") supplement the General Terms and govern your use of the Contiguity Communications Services ("CCS").

Communicating or Communications refers to sending, receiving, or exchanging information with your customers via supported channels. CCS includes any service offered by Contiguity that facilitates communication, such as Text (SMS/MMS), Email, Calls, OTP, Message Intents, iMessage, and WhatsApp.

These terms also govern any related analytics or management features available in the Contiguity Console and API.

By accessing or using Contiguity Communications Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not use CCS.

2. Contiguity Communications Data

Contiguity Communications Data is Contiguity Data for the purposes of this Agreement. Contiguity Communications Data refers to any data transmitted, stored, or processed through Contiguity's Communications Services, including but not limited to texts, emails, calls, and other communications.

Unless restricted by another agreement or exemption granted through the Contiguity Console, Contiguity may store and utilize your Contiguity Communications Data to:

(a) Enhance and train fraud detection algorithms, including artificial intelligence and machine learning systems;

(b) Improve service quality, reliability, and performance;

(c) Develop and improve Contiguity's products and services; and

(d) Provide support services to you.

Use of your Contiguity Communications Data is governed by Contiguity's Privacy Policy.

3. Acceptable Use Policy

Your use of CCS is governed by this Acceptable Use Policy ("AUP"). If Contiguity determines, in its sole discretion, that you have violated these policies, we may issue a warning, suspend, or terminate your account. We may update this AUP at any time, and it is your responsibility to stay informed of and comply with the latest version. All capitalized terms used here have the meanings ascribed to them in the Terms, unless otherwise noted.

3.1 Prohibited Content

Content displayed or processed by your application, websites, or sent to customers must not include the following:

(a) Content that infringes on third-party rights, including intellectual property rights.

(b) Excessive profanity or offensive material.

(c) Hate-related, violent, or discriminatory content.

(d) Content advocating racial, ethnic, or religious intolerance.

(e) Material that promotes or facilitates hacking, cracking, or other cybersecurity violations.

(f) Content that involves illegal activities, including illegal export of controlled substances or software.

(g) Drug-related paraphernalia.

(h) Phishing attempts or fraudulent schemes.

(i) Malicious content, including viruses, worms, or spyware.

(j) Content that violates any criminal law, regulation, or third-party rights, or encourages conduct that would do so.

(k) Child sexual abuse material (CSAM) or any content that sexualizes, exploits, or endangers minors.

3.2 Prohibited Actions

You agree not to, and not to permit third parties (including end users) to use the Service:

(a) To violate or encourage the violation of any applicable law or regulation, or to infringe upon the legal rights of others (including intellectual property, privacy, and confidentiality rights).

(b) To engage in, promote, or encourage illegal activities, including fraud, harassment, or unlawful discrimination.

(c) To transmit unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, or obscene content.

(d) To impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.

(e) To interfere with or disrupt the Service, servers, or networks connected to the Service.

(f) To collect or store personal data of other users without their explicit consent.

(g) To send unsolicited communications, including spam, phishing attempts, or fraudulent offers.

(h) For high-risk activities where the failure of the Service could result in death, personal injury, or severe physical or environmental damage.

(i) In any manner that could disable, overburden, or impair the Service or interfere with another party's use of the Service.

(j) To use any automated methods (e.g., robots, spiders) to access the Service for monitoring or scraping purposes without Contiguity's express written permission.

(k) To introduce harmful code, such as viruses, Trojan horses, worms, or logic bombs.

(l) To attempt to gain unauthorized access to the Service, user accounts, servers, or connected networks.

(m) To initiate denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks.

(n) To resell, redistribute, or provide access to the Service to third parties without Contiguity's express written permission.

(o) To otherwise interfere with the proper functioning of the Service.

Contiguity reserves the right to terminate or suspend access to CCS and your Contiguity Account immediately, without prior notice or liability, for any breach of this Acceptable Use Policy. Contiguity also reserves the right to report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties, and to cooperate fully with any investigations.

3.3 Usage Limits and Tiers

Contiguity offers various pricing tiers and service plans as described at contiguity.com/pricing. Usage limits, rate limits, included features, and eligibility requirements for each tier are subject to change at any time and are governed by the current terms posted on the Pricing Page.

(a) Tier-Specific Limits. Each pricing tier may include specific usage limits, rate limits (requests per second), feature restrictions, or eligibility requirements. Contiguity may enforce these limits through technical controls, usage monitoring, or other means at Contiguity's discretion.

(b) Eligibility Enforcement. Certain pricing tiers may have eligibility requirements based on revenue, business type, account age, usage patterns, or other criteria. Contiguity reserves the right to verify your eligibility at any time and to require you to upgrade to a different tier if you no longer meet eligibility requirements. Failure to upgrade when required may result in service limitations, suspension, or termination.

(c) Rate Limiting. Contiguity may apply rate limits to any tier or service to ensure fair access for all users and to protect system integrity. Rate limits may be adjusted at any time without notice.

(d) System Protection. In the event that your resource usage constitutes a threat to the integrity, availability, or resilience of Contiguity's systems and Services, as determined in the sole discretion of Contiguity, Contiguity may immediately suspend or terminate your usage of Contiguity's Services. Contiguity will attempt to provide advance warning except in severe cases requiring immediate action.

(e) Current Pricing and Features. For current information on pricing tiers, included features, usage limits, and eligibility requirements, see contiguity.com/pricing. The information on the Pricing Page may be updated at any time and supersedes any prior representations regarding pricing or features.

4. Compliance and Regulatory Requirements

4.1 Information and Documentation Requirements

Contiguity may require you to provide certain information and documentation as a condition of using CCS or maintaining your Contiguity Account. Required information may include, but is not limited to:

(a) Your company's Employer Identification Number (EIN) or other tax identification number;

(b) Company formation, incorporation, or organization documents (e.g., Articles of Incorporation, Certificate of Formation, Operating Agreement);

(c) Government-issued photo identification for authorized representatives;

(d) Proof of business address or physical location;

(e) Business licenses or permits;

(f) Ownership or beneficial ownership information;

(g) Use case documentation and business purpose information; and

(h) Any other information required by applicable law, regulation, carrier requirements, industry standards, Contiguity policies, or that Contiguity reasonably determines is necessary for compliance, risk management, fraud prevention, or other legitimate business purposes.

4.2 Timing and Compliance

Contiguity may request such information at the time of account creation, periodically during your use of CCS, or at any time Contiguity deems necessary. You must provide requested information within the timeframe specified by Contiguity (typically 10 business days unless otherwise stated). Failure to provide required information in a timely manner may result in suspension of Services, limitation of features, or termination of your Contiguity Account.

4.3 Accuracy and Updates

You represent and warrant that all information and documentation provided to Contiguity is accurate, complete, and current. You must promptly notify Contiguity of any material changes to previously provided information, including but not limited to changes in business structure, ownership, authorized representatives, tax status, or use case.

4.4 Verification Rights

Contiguity reserves the right to verify any information you provide through third-party sources, including but not limited to government databases, public records, and identity verification services. You authorize Contiguity to conduct such verification and to use the information obtained for purposes of evaluating, managing, and monitoring your use of CCS and your Contiguity Account.

5. Monitoring and Content Review

5.1 Monitoring Rights

Contiguity reserves the right to monitor communications, usage patterns, and content transmitted through CCS using automated systems, machine learning algorithms, artificial intelligence, and manual review processes. This monitoring is conducted to:

(a) Detect and prevent fraud, abuse, and violations of these Terms;

(b) Ensure compliance with applicable laws and regulations;

(c) Maintain service quality and system integrity;

(d) Protect Contiguity, its users, and third parties from harm; and

(e) Improve Contiguity's products and services.

5.2 Content Access

By using CCS, you acknowledge and agree that Contiguity may access, review, and analyze the content of your communications for the purposes described in Section 5.1, unless you have been granted an exemption through the Contiguity Console or separate written agreement. This includes, but is not limited to, message content, metadata, usage patterns, and related information.

5.3 No Obligation to Monitor

While Contiguity reserves the right to monitor content and usage, Contiguity has no obligation to do so and is not responsible for content transmitted through CCS by you or your users. You remain solely responsible for ensuring that your use of CCS complies with these Terms and all applicable laws.

6. Carrier and Content Guidelines

6.1 SMS/MMS Content Compliance

When using SMS/MMS services, you agree to comply with all applicable carrier content guidelines, messaging standards, and industry best practices, including but not limited to CTIA Messaging Principles and Best Practices. You are responsible for ensuring that your SMS/MMS content and practices comply with carrier requirements.

6.2 Filtering and Blocking

Third-party carriers may filter, block, or rate-limit messages based on content, sender reputation, volume, or other factors. Contiguity is not responsible for carrier filtering or blocking decisions and does not guarantee message delivery rates.

7. Termination and Suspension

In addition to Contiguity's termination and suspension rights under the General Terms, Contiguity may immediately suspend or terminate your access to CCS if:

(a) You violate this Acceptable Use Policy or any other provision of these Terms;

(b) Your use of CCS results in carrier filtering, blocking, or other penalties that negatively impact Contiguity or other users;

(c) Contiguity receives complaints, legal demands, or regulatory inquiries related to your use of CCS;

(d) Your usage patterns indicate fraud, abuse, or violation of applicable laws; or

(e) Contiguity determines, in its sole discretion, that continuing to provide CCS to you presents unacceptable risk or is otherwise not commercially reasonable.
